| Since 2003, Ronald R. Payne has served as Chief Executive Officer of Southwest LTC Management Services,
LLC, a start-up company that owns, operates and manages twenty one skilled nursing and rehabilitation facilities and one
assisted living facility all of which are located throughout the state of Texas. Mr. Payne provides oversight for the
procedural, operational and financial management of Southwest LTC, which has achieved notable growth over the last six years.
Prior to establishing Southwest LTC Management Services, Mr. Payne practiced law, specializing in commercial litigation, labor and employment, bankruptcy/creditor rights and nursing home litigation. He earned a Bachelor of Science degree in Economics from Texas A&M University prior to completing his Juris Doctorate at Texas Tech School of Law, and is currently licensed by the State Bar of both Texas as well as Florida. During his practice of law, Mr. Payne had the distinguished honor of briefing a case before the United States Supreme Court. |
| Richard Greer |
| Richard Greer joined Southwest LTC's management team in 2004. With more than 35 years experience
in long term care, Greer has served in leadership positions with several regional management companies as well as
industry trade organizations.
In 1989, Greer became the principal in Health Care Capital, a start-up company that owned, leased, and operated 60 nursing homes and assisted living facilities in 14 states. His accomplishments over the next eight years included bringing 22 nursing facilities to a level of financial performance that allowed bondholders to resume control of the properties, returning 45 distressed properties to a position in which the limited partners were made financially whole and developing and managing six assisted living properties. Prior to his tenure with Health Care Capital, Greer, served as Divisional Vice President with Southmark/National Heritage and Administrative Vice President with AMI Corporation. Active in industry policy, Greer has served in leadership positions with long term care trade associations, including the Board of Directors of the American Health Care Association, and President of Louisiana Nursing Home Association. He has also served as a consultant to other nursing facility operators and as a lobbyist for Louisiana Nursing Home Association. |
| Craig Brashier |

| Craig Brashier, CPA, serves as Southwest LTCs Chief Financial Officer. Mr. Brashier joined
Southwest LTC in July 2006 after serving as the companys Loan Officer at Capmark Finance, Inc.
Mr. Brashier began his career in public accounting with Arthur Andersen LLP and KPMG, LLP where his audit clients specialized in financial services and mortgage banking. In March of 2003, Mr. Brashier joined Capmark Finance, Inc. (formerly GMAC Commercial Mortgage Financing Group) as an underwriter specializing in skilled nursing financing. While at Capmark, Mr. Brashier underwrote and managed a skilled nursing portfolio in excess of $250 million. During this time, Mr. Brashier developed a relationship with Southwest LTC which presented a unique opportunity to join Southwest LTCs operations as Chief Financial Officer. Mr. Brashier earned his Bachelor of Science degree in Commerce and Business Administration and his Masters of Accountancy from the University of Alabama. He is licensed by the Alabama State Board of Public Accountancy and is an active member of the Alabama Society of Certified Public Accountants. Mr. Brashier has served the University of Alabama as an active member of the Young Advisors Council which assists the University with the development of its accounting curriculum. |
| Richard Guilbeaux |

| Richard Guilbeaux, NFA, serves as Southwest LTC's Director of Operations. After beginning his
career as a nursing facility administrator in 1984, Guilbeaux became active in regional operations of long term
care facilities in 1988 as a regional manager with National Heritage where he oversaw the management of eight
nursing facilities in Illinois.
Joining Health Care Capital in 1989 as Regional Vice President, Guilbeaux was responsible for the oversight of 10 nursing facilities in north Louisiana. In 1997 Guilbeaux became regional manager for nursing facilities in Louisiana and Texas with Sunbridge Health Care. In 2001 Guilbeaux began Managing Solutions, a long term care consultant company with clients throughout Louisiana. Guilbeaux has been a leader in the long term care industry, serving in various elected and appointment positions with Louisiana Nursing Home Association and serving as a presenter through the University of Louisiana and for the Tennessee Health Care Association's nursing facility administrator licensure program. Guilbeaux earned his Bachelor of Science degree in Business Administration from the University of Southwestern Louisiana. |
